Amy, Benny and Carla are partners in a successful antique business. The terms of the partnership agreement provide that the business of the firm is to buy and sell antique furniture. At the beginning of Dec 2009, Carla retired from the firm. Notice was placed in the government gazette and existing clients were informed of the retirement. In the middle of Dec 2009, Danny joined the firm.

In early Jan 2010, the partners were surprised to received delivery of an invoice for some very expensive paintings, which had been purchased in the firm's name by Carla, shortly before his retirement. At the end of Jan 2010, Benny left from the firm without notice, taking with him $40,000 which had been left with the firm by a client who wished the partnership to obtain some antiques for him.
